Please note that this role is hybrid (onsite 3x/week) and based in one of the following locations: New York City, the Los Angeles metro area, or the California Bay Area.

An AmLaw Top 50 law firm is looking to add a Corporate Paralegal to their Technology & Startups team. In this role, you would provide essential legal services to emerging tech companies. This is a great opportunity for talented legal professionals to get involved with some of the most dynamic and innovative companies on the market.

Responsibilities:

• Set up the company name, create formation documents, and manage the execution and filing in the appropriate jurisdictions.
• Prepare forms for entity qualification or registration in foreign jurisdictions.
• Support the drafting of employment agreements, purchase and option contracts, stock plans, and other relevant documents.
• Assist with the liquidation and dissolution processes.

Essential qualifications:

• Bachelor's degree.
• 5+ years of experience as a corporate paralegal.
• Experience working for a law firm.
• Expertise in the procedures, terminology, and documents involved in the formation of corporate entities.
• Familiarity with California Corporations Code, New York Business Corporate Law, and Delaware General Corporate Law.
• ABA-approved paralegal certificate (preferred).

Salary: up to $160k base.
