Our client, a prestigious law firm, is seeking a Corporate Paralegal to join their team in Boston!

The ideal candidate should have experience and a strong understanding of paralegal duties in corporate and financial transactions. Responsibilities include, but are not limited to:

• Drafting ancillary transaction documents such as resolutions, certificates, entity formation documents, state filings, and other governance materials.
• Coordinating due diligence activities, including organizing documents and records, managing virtual data sites for transactions, preparing closing documents, and handling closing and post-closing requirements.
• Preparing and maintaining transaction timetables and checklists.
• Conducting online UCC, corporate, and court records searches.
• Preparing and filing UCC financing statements.
• Assisting with federal and state business licensing matters.
• Supporting all aspects of final transaction closings.
